If a company only has 1 director, that individual should be a local resident unless the investor himself seeks relocation, in which case, the local resident position can be appointed to him or her.
“Nonetheless, in a company consisting of more than 1 director, the same requirement cannot be said of them,” Asiabizservices continues the elaboration.
A director, whose age is at least 18 years old at a time of the appointment, can be a non-shareholder or a shareholder of the company. Such individual must not be bankrupt nor has a record of malpractice.
The shareholders, on the other hand, are the owners of the company. They may be all foreigners, and thus, may own 100% of the company shares. Their particulars such as basic personal information must be specified on the Articles of Association, which is available on public records.
To satisfy the requirement of a shareholder and local resident director for the sake of compliance, Asiabizservices provides the nominee director and nominee company secretary services.
“A nominee director does not participate in business operations,” the business consultant specifies, “the role is limited to statutory compliance which can be temporary until the investor has found the ideal candidate or can be agreed on a long-term basis.”
