The Act further says that ACRA, the national regulating body of business organizations in Singapore can “direct a person to change his business name at any time.” Likewise, any other entity can file a request with ACRA to “direct a subsequent applicant [Target] to change the Target’s business name” if it resembles the entity’s name as to “be likely mistaken for the entity”, or if the other entity has procured an “injunction under the Trademarks Act” prohibiting the Target from using the business name.
In the Business Registration Act of Singapore, the uses of business names are defined. Among others, the Act clearly expresses prohibition by any person registered under the provisions of the said Act to “carry on a business under a name which has not been filed with the Registrar.”
Asiabiz Services represented by one of its business analysts provides free service to check the availability and conformity of a company name. Says Chi Han, “A company name must be unique and original to ensure that ACRA shall approve it and hence, the Singapore company registration can commence.”
Asiabiz Services can look into BizFile to check whether certain company names proposed by its clients are available for use. The BizFile, an online portal comprising of more than 300 sites offering various e-services such as company registration and name availability check.
“Making certain that a company name is available, does not encroach trademarks, and does not resemble another company is significant as it would spare everyone from the process of changing a business name even after it has been successfully incorporated with ACRA,” Han elaborates, pointing out that “both ACRA and the court have powers to amend the register.”
ACRA can rectify errors such as typographical, which is not an isolated case as investors may unknowingly enter wrong information when submitting documents. On the other hand, the court can direct ACRA to alter the register if any information about the company name is registered incorrect, a business name registered is misleading, or the use of a business name must be prohibited.
“Clients may know whether their proposed business names are available on the same day that they submitted their application request to us,” assures Han, adding that an e-mail is sent by Asiabiz Services containing the result of the name search.
