True to its reputation as the easiest place to do business, Singapore maintains free trade agreements with countries in Asia Pacific. It maintains sound relationship with other members of the ASEAN and with European Free Trade Association, Gulf Cooperation Council, Trans-Pacific SEP, and the United States. It continues to have free trade agreements with East and Mainland Asia.

The major industries found in Singapore are mostly manufacturing which includes electronic, transport/precision engineering, construction, financial services, wholesale and retail trade, information & communication services, electronics, transport & storages, hotels & restaurants, utilities, chemicals biomedical, business services, and other services industries from countries such as the United States, Canada, China, United Kingdom, Indonesia, Malaysia, Thailand, Japan, Hong Kong, Taiwan, France, Germany, and Australia.

Indeed, investors from across the borders eye Singapore as their best business destination. Many of them register a business firm or incorporate a company in Singapore. Some choose a subsidiary or branch office, while others who are more conservative prefer to register a representative office.

“Foreign investors who are unfamiliar of the entrepreneurial landscape of Singapore may want to exercise precaution by conducting a market research first,” confides Chi Han, a business consultant in Singapore, committed particularly with Asiabiz Services.

She says in addition that these conservative businessmen who want to be certain of their business direction in Singapore set up a representative office and devote its allowed resources to spearhead non-commercial activities, but which are helpful to the parent company’s business.

“They may feel they have to determine definitely the business potential in Singapore by understanding the needs of consumers or by learning something that is not available yet but has the promising market.”

A representative office is an administrative extension of a foreign company. Thence, it must also bear the parent company’s name. It cannot engage in profit-generating operations because its purpose is limited to liaising for the parent company.

Han continues to say that “Investors may use their Singapore representative office to promote their brand reputation through promotional campaigns.” And though it cannot engage in legal transactions such as entering into contracts or holding a Letter of Credit because it is not indulged with a legal personality, it can lease an office, which is manned by a few local staff and headed by a chief representative appointed by the parent company’s principal investors.

After three years of operation, it must move forward as a full blown office like a subsidiary or branch or cease its existence.

Chi reminds that foreign investors cannot register their own representative office in Singapore unless they have already obtained a labor pass, which will grant them eligibility, otherwise, they must employ the corporate services of a professional company.

For many years, Asiabiz Services has served numerous foreign investors by helping them with their business needs such as company incorporation, processing of labor passes, rendering nominee services, bookkeeping and payroll management services.
