“In a private limited company, the shareholders and investors are protected from financial accountability except the unpaid shares that they maintain,” The business consultant adds, “if a shareholder has paid all his shares in the company, then no more liability can be said of him.”

In a limited liability partnership, each partner is responsible for his own decision. The consequences cannot affect the other partners.

Asiabiz assists foreign investors in their pursuit of incorporating a company in Singapore. Based on the Companies Act, only those who hold the Singapore Personal Access Card and or NRIC can handle legal transactions like company registration.

“A private limited company is constituted by a resident director, a shareholder, and a company secretary,” explains Asiabiz, “each individual is distinct, except for the shareholder, which could also be another corporate entity.”

Asiabiz continues: “At least two partners can form a limited liability partnership, which can also be individuals or a business enterprise.”

Foreign-owned LLPs are run by a local manager that maintains a local residence. The same can be said of the resident director in a private limited company. Their difference however is that an Employment pass or Entrepreneur pass can qualify a foreign national to earn the title of a resident director.

“For a foreign businessman to be appointed as the local manager, a prior approval from the Ministry of Manpower is sought first before any of the Singapore work visas is applied and be eligible to be appointed as the local manager.”
